1. Introduction
Welcome to Farmella (“Company”, “we”, “our”, “us”). These Terms and Conditions govern your use of our website and services related to the export and sale of Egyptian sweet potatoes to international markets.
By accessing our website or engaging in business with Farmella, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, please do not use our services.
2. Definitions
- “Products” refers to fresh sweet potatoes, frozen sweet potato products, and related agricultural goods sold by Farmella.
- “Buyer” refers to any individual, company, or entity purchasing products from Farmella.
- “Order” refers to a confirmed purchase request submitted by the Buyer.
- “Shipment” refers to the delivery of products from our facilities to the Buyer’s designated destination.
3. Orders and Contracts
All orders are subject to acceptance by Farmella. An order becomes binding only upon our written confirmation via email or official purchase order acknowledgment.
Minimum order quantities apply: Standard MOQ is one 40ft container (approximately 20-22 tons for fresh products, 18-20 tons for frozen products). Trial orders may be arranged upon negotiation.
4. Pricing and Payment
Prices are quoted in USD or EUR as agreed upon. All prices are FOB Alexandria Port, Egypt, unless otherwise specified (CIF, CFR terms available upon request).
Payment Terms:
- 30% advance payment upon order confirmation
- 70% balance against shipping documents (Bill of Lading)
- Letter of Credit (L/C) accepted for orders above $50,000
- Special credit terms available for established partners
5. Shipping and Delivery
Delivery timelines are estimates and depend on port availability, customs clearance, and shipping schedules. Typical transit times to European ports: 8-14 days by sea freight, 3-5 days by air freight.
Risk of loss transfers to the Buyer according to the agreed Incoterms (FOB, CIF, or CFR).
6. Quality and Inspection
All products are inspected and certified before shipment. We provide phytosanitary certificates, quality certificates, and all documentation required for EU import compliance.
Claims for quality issues must be submitted within 48 hours of delivery with photographic evidence. Late claims may not be accepted.
7. Limitation of Liability
Farmella’s liability is limited to the value of the goods supplied. We are not liable for any indirect, incidental, or consequential damages including lost profits or business opportunities.
8. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, government actions, or supply chain disruptions.
9. Governing Law
These Terms and Conditions are governed by Egyptian law. Any disputes shall be resolved through arbitration in Cairo, Egypt, in accordance with ICC rules.
